Post incorporation matters are works or activities done for a company or an entity after its registration with the corporate affairs commission. Post incorporation matters takes effect 48 hours after registration. You can do the following as post incorporation matters;
- Annual returns
- Change of company secretary
- Change of director/ proprietor
- Change of company registered address
- Change of company name
- Increase or decrease in share capital
- Transfer or transmission of shares
- Alteration of Memo.
- Change in details of the director, shareholder or proprietor etc.
The post incorporation matters are done differently it is not automatic like it is in pre incorporation. If you intend to change a director who is also a shareholder, the matter is done differently. You will have to remove him as director make your payment and then go back to remove him as shareholder as well. For each services you select, you will pay for it separately. If a shareholder is added, the person does not become a person with significant control (PSC) automatically. You must apply separately to make him or her a PSC.

In changing details of a director or shareholder, if they are more than one directors, the change will be done individually and paid for separately.
In the case of an inactive company, the status of the company must be activated before any of the post incorporation matters can be done. To activate the status of a company, all the outstanding annual returns must be cleared and a mail written to CAC informing them of the payment.

The post incorporation was carved out by CAC to correct any error made during registration and also to effect changes that comes over a period of time like change in registered office address.
