
Group of Company is a combination of 2 or more companies joined together and registered as one. In our previous blog on how to register a group of company with CAC, we mentioned that the word “GROUP” is among the restricted names to use when registering a company with CAC. To use such word in your registration, you therefore require the consent of the Registrar General of CAC.

To get the consent of the Registrar General of the Corporate Affairs Commission (CAC) you need the following:
- A formal application for consent addressed to the Registrar General.
- Evidence of not less than 3 Associate Companies to from “GROUP” Company
- Evidence of common membership of the associate companies.
- Resolution of the Associate companies consenting to the “Group” Relationship.
- Statement by majority of the directors of the proposed “Group” company that the share capital of the company shall not be less than the highest share capital amongst the Associate companies.
- Updates Annual returns of the Associates Companies.
- Updates section 555 CAMA filing where applicable. (where there is a receiver or manager).

With the above in place, you apply for consent and successfully get it. Without the consent of the RG in place you cannot make any headway in registering a group of company with CAC.
